Siviwe is an Associate in the Corporate Commercial Department, and he is a former ENSAfrica Corporate Commercial Associate.
Siviwe has also previously worked and/or consulted as a legal consultant for various established and start-up companies in various industries.
Siviwe has experience in mergers and acquisitions, general commercial transactions, and company law-related work. He has acted for a wide range of local and international, listed and unlisted clients in various industries.
His experience includes conducting legal advisory work (including drafting opinion) on general corporate commercial and company law matters, the Companies Act, No. 71 of 2008 and Regulations thereto and assisting both local and international clients with company secretarial services (which includes company registration, director changes and filing annual returns).
He also has vast experience in leading and assisting clients to conduct due diligence investigations and he has experience in drafting and reviewing, among other things, shareholders' agreements, sale of business agreements, asset for share agreements, sale of shares agreements, memoranda of incorporation, subscription agreements, service level, supply and distribution agreements, board and shareholders’ resolutions as well as the drafting of legal opinions.
He has worked on, inter alia, the following matters:

advising a global mining company in an M&A transaction pertaining to the disposal of its shareholding, business and members interest to another mining conglomerate company - Transaction value: R5,3 billion.

advising an aviation company in a cross-border M&A transaction pertaining to the disposal of its shareholding in an airport to an Indian multinational conglomerate group - Transaction value: R1,8 billion.

advising a leading coal mining company in a transaction for the acquisition of entire shares of a multinational mining company – Transaction value: R300 million.

advising a leading coal mining company in a transaction for the acquisition assets of a large coal and heavy minerals mining company – Transaction value: R600 million.

advising a mining company in a transaction for the acquisition of its entire shares by an Australian-based mining company – Transaction value: R195 million.

advising a government department in concluding various information technology master turnkey services agreements – Transaction value: more than R500 million.

advising a multinational company in a transaction for the acquisition of a stake in a company cardio-tech company – Transaction value: R68 million.

advising a manufacturing company in a transaction for the acquisition of assets in another manufacturing company – Transaction Value: R45 million.
Siviwe has experience in various commercial legal matters in various sectors, including the agricultural, property development, energy, and banking sectors.
He completed his Bachelor of Laws (LLB) degree from the University of the Western Cape in 2018 (Summa Cum Laude) and proceeded to complete his articles at ENSAfrica in 2021. Siviwe is currently doing his Master of Law (LLM) with the University of the Witwatersrand on Corporate Law.
