Helyn is a consultant to NSDV. She specialises in general corporate and commercial law, mergers and acquisitions (both cross-border and domestic), joint ventures, and corporate reorganisations and restructurings, and advises a broad range of listed and unlisted clients in various jurisdictions and sectors, including mining, energy, infrastructure, technology, financial, manufacturing, education and consumer goods.

Her experience includes:

​

• reviewing and drafting various types of contractual arrangements;

 

• advising on broad-based black economic empowerment (“B-BBEE”) transactions, including –

 

• the unwinding of a large JSE-listed company’s broad-based black economic empowerment (“B-BBEE”) transaction and the structuring and implementation of its replacement B-BBEE transaction;

 

• the first and third listings of B-BBEE securities on the BEE Segment of the Main Board of the JSE for a large JSE-listed company, which involved working together with the JSE and Strate to prepare the first set of JSE-listings requirements and STRATE rules to regulate the BEE Segment prior to it being launched;

 

• B-BBEE shareholdings in developers of, and investors in, renewable energy projects;

 

• advising companies (both listed and unlisted) on corporate governance requirements under the King IV Report on Corporate Governance™, including the preparation of board charters and board and statutory committees’ terms of reference.

 

Helyn was previously a director of one of the bigger law firms in Johannesburg, where she practised for over 10 years; prior to practising at another large Johannesburg law firm for 7 years, where she completed her articles of clerkship.

She has been recognised for her expertise in Corporate Law by Best Lawyers® during the years 2015 to 2024.

She has a Master’s Certificate in Banking and Finance Law from the University of Witwatersrand and Advanced Company Law I & II from the University of Witwatersrand.

She was previously registered as a Securities, Futures and Derivatives Representative with the former Financial Services Authority, UK.
